1. Who we are and what these terms cover
The Direct Booking Engine and the website at directbookingexperts.co are offered by Друштво за менаџмент и бизнис консалтинг ПРОБИС-КОНСАЛТ ДООЕЛ Скопје (PROBIS-KONSALT DOOEL Skopje), EMBS 7513615, EDB 4057021555700, ul. Dragutin Avramovski Gute 32, Karposh, 1000 Skopje, North Macedonia (“we”, “us”, “Direct Booking Experts”). These terms are the agreement between us and the person or business that buys the Direct Booking Engine (“you”, “the Client”). By placing an order you confirm that you have read and accept them. If you order the Growth Engine for a website you already have, section 14 sets out what differs.
The Direct Booking Engine is a service for owners and managers of holiday accommodation. You confirm that you are buying it for the purposes of your accommodation business and not as a consumer, and that you have the authority to enter into this agreement on behalf of that business.
2. What is included
The Direct Booking Engine, at the price shown on the offer page at the time of your order, includes:
- A booking website for one property (one accommodation listing), built on our standard structure and hosted on your own domain.
- A visual identity for the property: a logo, a colour palette and light editing of the photos you supply.
- Written page content for the site, in English, based on the material you send us.
- Search-engine content: new articles published on the site on average every 2 to 3 days for 8 months from the go-live date.
- Domain registration (one standard domain) and hosting, upkeep and technical support for 8 months from the go-live date.
- A formal presentation of the site and one round of feedback, as described in section 4.
- A monthly analytics report during the 8 months, as described in section 6.
- The guarantee described in section 7.
Anything not listed here is outside the scope: for example online card payments on the site, channel manager or calendar synchronisation, additional properties or languages, print material, social media management or paid advertising. We are happy to quote for extra work separately.
3. Ordering, price and payment
The price is a one-time fee, stated in EUR on the offer page. When you send an order request we issue an invoice in EUR to you or your business, together with our bank details, within one business day. Payment is made by bank transfer (SEPA or SWIFT). Bank charges on your side are yours; we do not add any platform or processing fees. VAT, where it applies, is shown on the invoice.
Your order is accepted when the payment has been received in full. Work begins as soon as we have your payment and the material described in section 5.
4. Timeline, presentation and feedback
Delivery timeline. We will complete the website and set everything up within 2 months of the start date. The start date is the later of (a) the date we receive your payment in full and (b) the date we receive the complete material listed in section 5. Delays in supplying material, in answering our questions or in giving feedback extend the timeline by the same number of days.
Presentation. When the site is ready we will present it to you formally, by video call or by a recorded walkthrough, and walk you through the pages, the enquiry flow and how the content engine will work.
Feedback round. After the presentation you have 10 working days to send us, in writing, the changes you would like. We will make reasonable changes that stay within the scope of the service: corrections to text and facts, swapping or reordering photos, adjusting colours, adding or removing sections within our standard page structure, and fixing anything that does not work as presented. Requests that go beyond the scope, such as a different overall design direction, new functionality, additional pages beyond the standard structure or a second round of changes, are not included and can be quoted separately.
Acceptance and go-live. Once the agreed changes are made, or if we receive no feedback within the 10 working days, the site is deemed accepted and goes live. The 8-month period for content, hosting and the guarantee runs from the go-live date.
5. What we need from you
- Photos of the property that you own or have the right to use, in the best resolution you have.
- Basic details: rooms, capacity, amenities, location, rates, house rules and any preferred colours or style references.
- Access needed to register or connect your domain, and to receive enquiries at an email address you control.
- Answers to our questions and feedback within the times stated in these terms.
You are responsible for the accuracy of the information you give us and for holding the rights to any photos, logos or text you supply. You confirm that publishing them on your site does not infringe anyone else’s rights, and you will cover any claim against us that arises from material you supplied.
If we have not received the material we need within 60 days of payment, despite our reminders, we may pause the project. No refund is due for a paused project; we will resume when the material arrives.
6. Content engine and monthly reports
For 8 months from the go-live date we research, write and publish articles on your site, on average one every 2 to 3 days, aimed at what travellers search for in your area and season. We choose the topics and write the articles in English. You may ask us to correct factual errors or remove an article at any time; we do not offer pre-publication review of every article, as that would slow the engine down.
Once a month during those 8 months we send you an analytics update by email: visitors, where they came from, which pages and articles performed, and the number of direct enquiries recorded. The reports rely on analytics tooling installed on the site (see section 8); if that tooling is removed or blocked we cannot report on the data it would have collected.
7. The guarantee
If your site has not delivered 30 direct enquiries by the end of month 8 after go-live, we continue writing and publishing articles at the same rhythm, at no charge, until it has.
A direct enquiry is a message about staying at the property, sent through the site’s enquiry form or to the enquiry email address or phone number shown on the site, that includes intended dates or guest details. Spam, duplicates from the same guest about the same stay, test messages, messages from you or people acting for you, and messages unrelated to booking do not count.
The guarantee applies as long as:
- the site stays live on our hosting, on the agreed domain, for the whole 8 months;
- the analytics and enquiry tracking we install stay in place, so enquiries can be counted;
- you do not make or commission changes to the site without us, and you do not ask us to remove a material part of the content;
- the property remains available to book for guests at rates in line with the market for the whole period; and
- you have supplied the material in section 5 and responded to our requests within the stated times.
Continued free publishing is the only remedy under the guarantee. It does not extend the hosting and upkeep period, and it does not entitle you to a refund. We do not promise a particular number of bookings, a particular search ranking or a particular amount of revenue: how many enquiries turn into stays depends on your rates, availability, reviews and how quickly you reply.
8. Hosting, third-party services and after the 8 months
The site runs on hosting, domain, email and analytics services provided by third parties that we select. We choose reliable providers but cannot guarantee uninterrupted availability, and we are not responsible for outages, policy changes or price changes on their side, nor for changes in how Google, other search engines, AI assistants or booking platforms rank or display content.
When the 8 months end you keep the site, the domain and every article. To keep the site online you can choose one of our monthly plans, shown on the offer page at that time (currently upkeep only, or upkeep plus continued publishing). Monthly plans are invoiced in advance and paid by bank transfer, and can be cancelled at any time with effect from the end of the paid month; fees already paid for a month are not refunded. If you choose no plan, we will hand over the site files and the domain to you or to a provider you name, and responsibility for hosting, renewals, security and updates passes to you at that point.
9. Ownership and portfolio
Once the fee is paid in full you own the website content we create for you: the text, the logo, the edited photos and every article, together with the domain registered in your name. We keep ownership of our underlying tools, code frameworks, templates, processes and know-how, and we may reuse them for other clients. You receive a perpetual licence to use them as part of your site.
You agree that we may name your property, show the site and publish anonymised or aggregated results (for example visitor and enquiry numbers) as a case study in our marketing, unless you tell us in writing that you prefer not to be featured.
10. No refunds
The Direct Booking Engine is a bespoke service. Work begins as soon as we receive your payment and material, and much of the cost is incurred in the first weeks. For that reason the fee is non-refundable. In particular, no refund is due because you do not like the design, the colours, the logo, the photos or the text after we have applied the feedback round in section 4; because search traffic or enquiries arrive more slowly than you hoped; because you decide to stop or sell the property; or because you cancel the project after work has started.
By ordering you ask us to begin performing the service immediately and you acknowledge that any right of withdrawal that might otherwise apply is lost once performance has begun. The only exception is this: if we fail to present the site within the timeline in section 4 (as extended by any delays on your side) and do not do so within 30 days after you notify us in writing, you may cancel and receive a refund of the fee less the value of the work already delivered. Nothing in this section limits rights that mandatory law grants you and that cannot be excluded.
11. Your responsibilities as site owner
You are the operator of your property and your site. You are responsible for the accuracy and legality of the information about the property, for your rates, availability and booking conditions, for complying with the tourism, tax, licensing and consumer rules that apply to you, for replying to guests and for handling the guest data you receive in line with data protection law. The site may show a privacy notice for your guests; you should review it and ask us to adjust it if your practices differ.
12. Liability
To the fullest extent the law allows, our total liability under or in connection with this agreement is limited to the fee you paid for the Direct Booking Engine. We are not liable for lost bookings, lost revenue or profit, loss of data, reputational loss or any indirect or consequential loss, nor for anything caused by material you supplied, by changes you or third parties made to the site, or by third-party services listed in section 8. Nothing limits liability for fraud or for anything that cannot be limited by law.
13. Ending the agreement
You may stop the project at any time by writing to us, but the fee is not refunded (section 10). We may end the agreement if you breach these terms and do not remedy the breach within 14 days of our notice, or if the project has been paused for more than 6 months for lack of material or response from you. In either case we will hand over whatever has been produced up to that point.
14. The Growth Engine for existing websites
The Growth Engine is a separate service for clients who already have a website and want to keep it. These terms apply to it, with the differences set out in this section. Sections 2, 4, 7 and 8 and the 8-month periods in section 6 do not apply: we do not build or host a site, and the guarantee in section 7 does not cover the Growth Engine.
Audit and update. For the one-time fee shown on the offer page we review your existing site (speed, technical search optimisation, content and the enquiry flow), send you the findings in writing, and make a general update that addresses them within what your site’s platform and the access you give us allow. A redesign, a move to another platform, new functionality and new pages beyond the existing structure are outside the scope and can be quoted separately. The fee is invoiced and paid as described in section 3 and is non-refundable once the audit has started.
Monthly content plan. Once the update is done, the monthly plan begins at the price shown on the offer page at the time of your order. We research, write and publish original articles on your site, on average one every 2 to 3 days, and keep optimising it for search engines and AI assistants. The plan is invoiced monthly in advance, paid by bank transfer, and can be cancelled at any time with effect from the end of the paid month; fees already paid for a month are not refunded. Every article we publish stays yours.
Access and your platform. You give us the access we need to edit the site and publish on it, and you keep it in place while the plan runs. Hosting, domain, backups, security and the platform the site runs on remain your responsibility or that of your provider. We are not responsible for outages, limitations or changes on that platform, nor for changes made to the site by you or by others. If we lose access, publishing pauses until it is restored, and no refund is due for that time.
15. Changes, law and contact
We may update these terms for future orders. The version in force when you placed your order applies to your project. This agreement is governed by the law of the Republic of North Macedonia. We will try to resolve any disagreement amicably first; failing that, the courts of Skopje have jurisdiction, without prejudice to any mandatory rules that give you a different forum.
Questions about these terms: contact@directbookingexperts.co. How we handle personal data is described in our privacy policy.
